GENERAL COMMERCIAL TERMS AND CONDITIONS OF NAY EXTRA KLUB

1. NAY EXTRA KLUB
   
   NAY EXTRA KLUB is a fidelity programme created and provided by NAY a.s. for customers who make purchases at NAY a.s. locations. The general commercial terms and conditions govern the conditions of inception of membership in NAY EXTRA KLUB and the rights and obligations of NAY EXTRA KLUB members and NAY a.s. Membership in NAY EXTRA KLUB allows members/customers to obtain points for each purchase under the terms and conditions defined in these General Commercial Terms and Conditions, and then to apply these points for discounts on future purchases and for the use of additional services designated exclusively for members of NAY EXTRA KLUB.
2. Inception of NAY EXTRA KLUB Membership
   
   
1. Every customer who fulfills the following conditions can become a member of NAY EXTRA KLUB:
   
1. natural person over 18 years of age with permanent residence or permitted residence in the Slovak Republic,
2. initial purchase of over 300 € (9 037,80 Sk) directly at a NAY a.s. location (payment in cash or electronically), via NAY Internetdom or on installment plan (for installment plan purchases, your purchase is considered the initial purchase price prior to interest increases). Cash payment is not payment on the basis of an invoice. Therefore, registration in NAY EXTRA KLUB is not possible with purchases on the basis of an invoice or for application of any operations associated with NAY EXTRA KLUB,
3. request membership with purchase, provide personal information to the NAY a.s. employee who will carry out the registration, and a legible signature on the application for the NAY EXTRA KLUB. By signing the application, the customer consents to the General Commercial Terms and Conditions of NAY EXTRA KLUB. The application also includes marketing data which the customer is not obliged to complete.
2. The customer will be registered with NAY EXTRA KLUB directly with his purchase. Retroactive registration is not possible, with the exception of purchases made through NAY Internetdom, where you can register within one month of your purchase. NAY a.s. reserves the right to reject applications containing obviously incorrect or incomplete information.
   
3. Personal Data on members of NAY EXTRA KLUB
   
   
1. By signing the application, members of NAY EXTRA KLUB consent to the processing and storage of their personal information as stated in the application in accordance with Act No. 428/2002 Coll. on personal data protection, as amended, as well as information regarding their purchases of merchandise and the services they use, which information NAY EXTRA KLUB may obtain throughout the term of their membership (e.g. the type and quantity of merchandise, number of points).
   
2. By signing the application, members of NAY EXTRA KLUB also consent to having NAY a.s. provide their personal data to the bank for the purpose of the issuance and use of the NAY Purchase Card; in accordance with the applicable laws, the bank is authorized to disclose the members’ personal data to other banks or to third parties with which it cooperates (e.g. with respect to use of cards) under the condition that such banks and third parties are capable of ensuring the protection of this personal data from misuse.
   
3. The member of NAY EXTRA KLUB hereby consents to having NAY a.s. process the personal data set out in sections 1 and 2 of this article for the entire term of his/her membership in NAY EXTRA KLUB. The customer may withdraw said consent at any time by delivering a written notice to NAY a.s.; however, the customer who withdraws said consent can no longer use the benefits of the NAY EXTRA KLUB fidelity program, which benefits are tied to the holder of the NAY Purchase Card.
   
4. NAY a.s. undertakes to process and use all of the Customer’s personal data set out in the Application exclusively for the purposes of managing the NAY EXTRA KLUB fidelity programme, i.e. especially for data records at the NAY EXTRA KLUB centre, for improving the services provided to members of NAY EXTRA KLUB, etc. NAY a.s. is responsible for the security of the provided personal data and for compliance with the obligations arising from Act No. 428/2002 Coll. on personal data protection, as amended.
   
5. Members of NAY EXTRA KLUB must notify the NAY EXTRA KLUB centre without delay of any changes in their personal data as set out in their Application. NAY a.s. shall not be liable for damages incurred due to delayed notification of changes in the personal data of members of NAY EXTRA KLUB.
   
   
4. NAY EXTRA KLUB Purchase Card
   
   
1. Issue of NAY Purchase Card
   The NAY EXTRA KLUB Purchase Card is issued to members of the club for identifying themselves when using club benefits. The card is non-transferable and the benefits of membership may only be used upon presentation of the card. The NAY Purchase Card is loaned to members of NAY EXTRA KLUB during their membership term for use free of charge. 3 types of cards are issued under NAY EXTRA KLUB based on the level of benefits:
   

• blue
• silver
• gold
  
  

The card will be issued in the customer’s name within 14 days of registration and will be sent by certified restricted mail to the address stated in the application. NAY a.s. shall not be liable for damages incurred by the customer due to the failure of the Slovak Postal Service to deliver the card. Upon receipt and signing of the card, the customer has the right to use the benefits of membership in NAY EXTRA KLUB.

2. Repeat Mailing of NAY Purchase Card
   The card is sent to members of NAY EXTRA KLUB by certified mail, generally within 14 days of the application date for the NAY Purchase Card. If the member of NAY EXTRA KLUB fails to retrieve his card within the period designated by the postal service, the card will be returned to the sender. In such case, the customer may contact the NAY info-line on 0850 111 444 for information on repeat mailing of the card.
   
3. Security PIN Code
   The PIN code is a security code for applying the discounts available on the customer’s card, which protects the card from unauthorized use. The club member must use this code to identify himself in order to draw on his available points. The PIN code is sent to the customer along with the card by certified mail.
   
4. Re-Issue of PIN Code
   Upon the loss of the security PIN code, members of the NAY EXTRA KLUB may request the code to be re-issued at any of the NAY a.s. locations. The fee for re-issue of the PIN code is 1,50 € (45,19 Sk). The PIN code will be sent to the NAY EXTRA KLUB member by certified mail to the address stated in the application for re-issue of the PIN code. The member of NAY EXTRA KLUB may also pick up his PIN code at NAY a.s. headquarters – NAY Elektrodom, Tuhovská 15 830 06 Bratislava – on business days between 9:00 and 16:00.
   
5. Loss of, Theft of or Damage to NAY Purchase Card
   
   

1. Members of NAY EXTRA KLUB must notify the NAY EXTRA KLUB centre of the loss or theft of the NAY Purchase Card, and the centre will arrange for the card to be blocked immediately. If the member of NAY EXTRA KLUB desires a new card to be issued, he may apply for and will be issued a new card for a fee of 3 € (90,38 Sk). The number of points equal to the balance of the points on the lost or stolen card will be credited to the NAY EXTRA KLUB member’s new card within 24 hours following receipt of the notice of the loss or theft of the original card.

2. Members of the NAY EXTRA KLUB must notify the NAY EXTRA KLUB centre of any damage to their card. Following notification, the member must send the card to Consumer Finance Holding, a.s., Mnoheľova 2832/9, 058 01 Poprad. If the member of NAY EXTRA KLUB desires a new card to be issued, he may apply for and will be issued a new card for a fee of 3 € (90,38 Sk), the card will contain the current point value of the original card.

3. If the member of NAY EXTRA KLUB desires a new card to be issued due to a change in his personal data, he may apply for a new card for a fee of 3 € (90,38 Sk) by filling out an application for re-issue of the card at any NAY Elektrodom location, and the card will be issued with the current point value of the original card. The member must send the original card to Consumer Finance Holding, a.s., Mnoheľova 2832/9, 058 01 Poprad.

2. Block List
In cases of suspected violation of the General Commercial Terms and Conditions of NAY EXTRA KLUB, especially the obtaining of points contrary to the General Commercial Terms and Conditions of NAY EXTRA KLUB, NAY a.s. reserves the right to place the card on the Block List. The customer may call the NAY EXTRA KLUB centre by telephone and request the administrator of NAY EXTRA KLUB to inform him of the reason the card was placed on the Block List.

5. Benefits Provided to Club Members


1. Bonus – an additional discount via points
With each purchase made with the NAY Purchase Card, the customer receives points which he may then apply as a discount for future purchases (1 bod = 1 € (30,126 Sk)) according to the criteria described below.

1. Blue NAY Purchase Card – The customer will receive this card automatically upon fulfillment of all of the conditions of membership in NAY EXTRA KLUB as set out in Article II. With every purchase made with the blue NAY Purchase Card, the customer’s card will be credited 3 points for every 100 € (3 012,60 Sk) of the total price of his purchase. If the customer has activated the credit function on his card and pays for purchases using the credit function, he will be credited 4 points.

2. Silver NAY Purchase Card – The customer will receive this card upon fulfillment of all of the conditions of membership in NAY EXTRA KLUB as set out in Article II and if his initial purchase has a value of at least 166 points, or if the current value of points on his blue NAY Purchase Card has reached 166. A new card will be issued to the customer free of charge when transferring to a higher level. The original blue NAY Purchase Card will become invalid upon the first use of the silver NAY Purchase Card. All unused points on the original blue NAY Purchase Card will be automatically credited to the silver NAY Purchase Card.
With every purchase made with the silver NAY Purchase Card, the customer will be credited 5 points for every 100 € (3 012,60 Sk) of the total price of his purchase. If the customer has activated the credit function on his card and pays for purchases using the credit function, he will be credited 6 points.
3. Gold NAY Purchase Card – The customer will receive this card upon fulfillment of all of the conditions of membership in NAY EXTRA KLUB as set out in Article II and if his initial purchase has a value of at least 332 points, or if the current value of points on his blue or silver NAY Purchase Card has reached 332. A new card will be issued to the customer free of charge when transferring to a higher level. The original card will become invalid upon the first use of the gold NAY Purchase Card. All unused points on the original NAY Purchase Card will be automatically credited to the gold NAY Purchase Card.
With every purchase made with the gold NAY Purchase Card, the customer will be credited 7 points for every 100 € (3 012,60 Sk) of the total price of his purchase. If the customer has activated the credit function on his card and pays for purchases using the credit function, he will be credited 8 points.

1.1. Rules for Obtaining and Application of Bonus Points
1. Points will be credited to the NAY Purchase Card for the complete range of merchandise sold at the NAY a.s. locations.
2. With every purchase using the benefits of NAY EXTRA KLUB, the customer must identify himself with the NAY Purchase Card; points cannot be credited retroactively. Only one NAY Purchase Card may be used for each purchase. Points on the NAY Purchase Card cannot be exchanged for cash. Upon issuance of a credit advice, the member of NAY EXTRA KLUB must return the points he received with the purchase of the merchandise for which the credit advice was issued. If he has already used up the points on the NAY Purchase Card, the system will automatically reduce the amount of the credit advice by the value of the points received with the purchase of such merchandise.
3. For purchases made on installment plans, points may be credited to the card only; it is not possible to apply the points for payment of the advance payment.
4. Points will not be credited to or applied from the NAY Purchase Card for purchases through NAY Internetdom. A customer who activates the NAY EXTRA discount at NAY Internetdom will receive a direct discount depending on the level of his customer card (blue NAY Purchase Card - 3% discount, silver NAY Purchase Card – 5% discount, gold NAY Purchase Card – 7% discount). The NAY EXTRA discount cannot be combined with other available discounts.
5. Combination of NAY EXTRA discounts with other available discounts, sales or other fidelity system benefits is not possible. Purchases made on installment plans on the installment products designated by NAY a.s. will also be considered as being on sale.
6. In special cases, NAY a.s. reserves the right to adjust the conditions for crediting points to the NAY Purchase Card.
7. Validity of Point Value on NAY Purchase Card
After a period of one year from the last transaction made with the NAY Purchase Card, the number of points on the card will be decreased by one-half; after a period of two years from the last transaction made with the NAY Purchase Card, the number of points on the card will fall to zero.
2. Credit Function of the Card
The holder of the NAY Purchase Card may request the activation of the credit function on his NAY Purchase Card. The issue, activation and use of this function are governed by the Commercial Terms and Conditions for issue and use of credit cards as issued by Všeobecná úverová banka, a.s. in cooperation with Consumer Finance Holding, a.s., which terms and conditions are contained in the Application for NAY EXTRA KLUB and the Application for activation of the NAY Purchase Card credit function.
3. Personal Advisor for Holders of Gold NAY Purchase Card
Holders of the gold NAY Purchase Card will have a VIP assistant – personal advisor for electronics purchases – available free of charge.
4. Other Benefits of Membership in NAY EXTRA KLUB

6. Expiration of Membership in NAY EXTRA KLUB
NAY EXTRA KLUB membership expires:
1. upon delivery of the written notice of the NAY EXTRA KLUB member, sent along with the NAY Purchase Card to the NAY EXTRA KLUB centre.
Upon expiration of membership in NAY EXTRA KLUB, the customer will lose the right to use the benefits of membership in NAY EXTRA KLUB as well as the right to use unused points. In the event of new membership in NAY EXTRA KLUB, this customer will not be entitled to any benefits arising from previous membership. The customer will be charged a fee of 3 € (90,38 Sk) for issuance of a card with repeat membership in NAY EXTRA KLUB.
2. expulsion of a Member of NAY EXTRA KLUB by NAY a.s.
in the event of discovering violation of the General Commercial Terms and Conditions of NAY EXTRA CLUB. In the event of discovering a member’s violation of the General Commercial Terms and Conditions of NAY EXTRA KLUB, NAY a.s. shall be authorized to expel such member from NAY EXTRA KLUB without prior notice. The customer will receive a written notice of the expulsion, and in this case shall lose all unused points and all benefits of membership in NAY EXTRA KLUB will expire, including the right to settling already applied benefits of such membership. A customer who was expelled from NAY EXTRA KLUB cannot regain membership.
3. upon the death of a member or upon declaration that he is deceased.

7. General and Final Provisions
1. Membership in NAY EXTRA KLUB and the benefits associated therewith are not legally enforceable or transferable.

2. NAY a.s. reserves the right to amend the General Commercial Terms and Conditions of NAY EXTRA KLUB, the benefits offered and the rules of receiving such benefits for business reasons or for reasons of force majeure.

3. Although the NAY EXTRA KLUB fidelity programme is a long-term programme, NAY a.s. reserves the right to terminate the programme. NAY a.s. will notify its customers sufficiently in advance of the date of termination. Following such date, no NAY Purchase Cards will be issued and no points will be credited or may be applied.

4. These General Commercial Terms and Conditions of NAY EXTRA KLUB shall come into force on 01.01.2009.
